13. Modifications
13.1Sponsor reserves the right to modify these Rules at any time. Material modifications shall be posted on the Site and shall take effect upon posting unless a later effective date is specified. Any modification affecting the structure of any Prize shall be made, if at all, prior to Contest Lock. Your continued participation in the Contest after a modification takes effect constitutes acceptance of the modification.
14. Force Majeure & Contest Modifications
14.1Sponsor shall not be liable for any failure or delay in the performance of its obligations under these Rules, or for any modification, suspension, or cancellation of the Contest, where such failure, delay, modification, suspension, or cancellation is caused by an event beyond Sponsor’s reasonable control, including without limitation: acts of God; pandemic or epidemic; war, terrorism, civil unrest, or governmental action; cyberattack or distributed denial-of-service; failure or interruption of the internet or any portion thereof; failure or interruption of the Solana mainnet or any validator, RPC provider, or oracle; or any postponement, abandonment, format change, or cancellation of the Tournament by FIFA or any other governing body (a “Force Majeure Event”).
14.2In the event of a Force Majeure Event, Sponsor may, in its sole discretion: (a) suspend the Contest until the Force Majeure Event has abated; (b) modify the Contest, including without limitation by adjusting Contest Lock, scoring, or Prize structure to a fair and reasonable approximation of the original; or (c) cancel the Contest. In the event of cancellation prior to award of any Prize, no Entrant shall be entitled to any Prize, refund, or other compensation from Sponsor.
14.3The Tournament must be played to substantial completion, in Sponsor’s reasonable judgment, in order for the Grand Prize or Secondary Prize to be awarded.
15. Hedge Provider Contingency
15.1Sponsor may, in its sole discretion, enter into one or more agreements with one or more third parties (each, a “Hedge Provider”) to hedge or transfer all or any portion of Sponsor’s obligation to pay the Grand Prize. In such case, payment of the Grand Prize shall be contingent on Sponsor’s actual receipt of corresponding payment from the Hedge Provider, and Sponsor shall have no liability for any failure of, or delay by, the Hedge Provider to pay.
15.2In the event that the Hedge Provider promptly pays Sponsor the entirety of the Grand Prize, and such payment is not encumbered or subject to legal dispute, Sponsor shall not elect to award the Grand Prize in installments under Section 4A.3.
16. Publicity
16.1Except where prohibited by law, by accepting any Prize, the recipient grants Sponsor and its designees an irrevocable, perpetual, worldwide, royalty-free, non-exclusive, sublicensable license to use the recipient’s username, first name and last initial, country of residence, Bracket Entry, photograph (if provided), and a brief statement about winning the Prize, in all media now known or later developed, for promotional and marketing purposes related to the Contest, without further notice, approval, or compensation. The recipient waives any right to inspect or approve any such use.
16.2By participating in the Contest, each Entrant grants Sponsor and its designees a non-exclusive, royalty-free, worldwide license to aggregate, anonymize, and publish statistics derived from Bracket Entries (such as the most-picked champion, average exact-score accuracy, and the like) for editorial, marketing, and product purposes.
17. Privacy
17.1Personal information collected from Entrants in connection with the Contest is collected, stored, used, and disclosed in accordance with the Site’s Privacy Policy. By participating in the Contest, you consent to such collection, storage, use, and disclosure.
17.2Sponsor may share personal information with its service providers, legal and tax advisors, payment processors, the Hedge Provider (if any), and applicable governmental authorities to the extent reasonably necessary to operate the Contest, fulfill any Prize, and comply with applicable law.
18. Intellectual Property
18.1All intellectual-property rights in and to the Site, the Pool Program, the bracket interface, the scoring engines, marketing materials, and these Rules are owned by or licensed to Sponsor. Nothing in these Rules grants you any right, title, or interest in or to any such intellectual property except as strictly necessary to enter and participate in the Contest.
18.2The names, logos, and trademarks of FIFA, the FIFA World Cup, participating national associations, member clubs, players, and broadcasters are the property of their respective owners and are used on the Site and in these Rules, where used at all, for descriptive and informational purposes only. No sponsorship or endorsement by any such party is claimed or implied.
19. Governing Law
19.1These Rules shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles, except that Section 11 shall be governed by the Federal Arbitration Act.
19.2You agree and understand that Sponsor is an internet-based business and that, by entering into these Rules, Sponsor does not consent to the personal jurisdiction of any court of any state other than Delaware.
20. Severability & Waiver
20.1If any provision of these Rules is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect. The failure of Sponsor to enforce any provision of these Rules in any particular instance shall not constitute a waiver of that or any other provision in any other instance.
21. Entire Agreement
21.1These Rules, together with the Site’s Terms of Use and Privacy Policy and (where applicable) the on-chain documentation of the Pool Program, constitute the entire agreement between you and Sponsor with respect to the Contest and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral, with respect to the Contest. With respect specifically to the Contest, in the event of any conflict between these Rules and any other document, these Rules shall control.
22. Winner's List & Notices
22.1A list of any Grand Prize and Secondary Prize winners (if any), identified by username and country of residence only, may be obtained no earlier than thirty (30) days and no later than one hundred eighty (180) days after the conclusion of the Tournament by sending a written request to mandemdao@gmail.comwith the subject line “Winner’s List Request — Mandem World Cup 2026”.
22.2Notices to Sponsor under these Rules shall be sent to mandemdao@gmail.com. Notices from Sponsor to you shall be effective when sent to the email address on file for your Account.
22.3A copy of these Rules will remain available on the Site at /terms for the duration of the Contest Period and for at least two (2) years thereafter.
